Terms & Conditions

1. Overview

These Terms and Conditions govern the web design and related services provided by Prime Web Studio ("Studio," "we," "us") to clients ("Client," "you") in the Philippines and internationally.

By engaging our services — whether through verbal agreement, written contract, or payment — you agree to be bound by these terms. If you do not agree, please do not proceed with our services.

We reserve the right to update these terms at any time. Continued use of our services after updates constitutes acceptance of the revised terms.

2. Scope of Services

Prime Web Studio offers the following services:

• Custom website design and development
• Monthly website maintenance and hosting
• Branding and logo design (as an add-on service)
• Content writing and SEO assistance (as an add-on service)
• Website updates and revisions within agreed scope

The exact scope of each project will be defined during the onboarding process and agreed upon before work begins. Any work outside the agreed scope may incur additional fees.

3. Payment Terms

Project Fee: A one-time setup fee is charged per project. Payment is required before the project goes live. We do not release the final site until the setup fee is paid in full.

Monthly Subscription: For clients on monthly maintenance plans, payment is due on the 1st of each month. A grace period of 7 days applies. After 7 days without payment, the site may be suspended.

• Setup fees are non-refundable once design work has begun.
• If a client cancels before design begins, a full refund will be issued.
• Monthly fees already paid are non-refundable.
• Cancellation of monthly service requires 30 days written notice.

4. Client Responsibilities

To ensure timely delivery, the Client agrees to:

• Provide all required content (text, photos, logo, color palette) within 7 days of project start
• Respond to design reviews and revision requests within 5 business days
• Designate one primary point of contact for all communications
• Ensure all content provided is owned by the Client or properly licensed

Delays caused by the Client (late content, unresponsiveness) will extend the delivery timeline accordingly. Prime Web Studio is not responsible for delays caused by the Client.

5. Revisions

Each project includes up to 3 rounds of revisions during the design phase. A revision is defined as a set of feedback submitted in one batch.

Additional revisions beyond the included rounds are available at ₱500 per round.

Revisions are limited to the originally agreed scope. Requests that change the fundamental direction of the project may require re-scoping and additional fees.

6. Intellectual Property

Upon full payment, the Client owns the final website design and all original content created specifically for their project (copy, layout, graphics).

Prime Web Studio retains the right to:

• Display the completed work in our portfolio
• Use the project as a reference for new clients (unless Client requests otherwise in writing)

The Client is responsible for ensuring all content they provide (logos, photos, text) does not infringe on third-party intellectual property. Prime Web Studio is not liable for content provided by the Client.

Third-party tools, fonts, and plugins used in your website are subject to their own licenses. Prime Web Studio will always use properly licensed resources.

7. Hosting & Domain

Websites built by Prime Web Studio may be hosted on our platform or deployed to a platform chosen by the Client.

If the Client provides their own hosting or domain, Prime Web Studio is not responsible for uptime, security, or technical issues related to that provider.

If hosting is included in the monthly plan, the site will remain live as long as the subscription is active. Upon cancellation, the Client has 30 days to request their website files before they are removed from our servers.

8. Limitation of Liability

Prime Web Studio is not liable for:

• Loss of business, revenue, or profit resulting from website downtime or errors
• Security breaches caused by third-party platforms or the Client's own actions
• Inaccurate or misleading content provided by the Client
• Changes made to the website by the Client or any unauthorized third party

Our maximum liability in any dispute is limited to the total fees paid by the Client in the 3 months prior to the claim.

9. Termination

Either party may terminate the engagement with 30 days written notice. Upon termination:

• All outstanding balances become immediately due
• The Client receives all completed work files within 14 days of final payment
• Prime Web Studio will remove the site from our servers after 30 days

Prime Web Studio reserves the right to terminate immediately if the Client engages in fraudulent activity, provides illegal content, or violates these terms.

10. Governing Law

These Terms and Conditions are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the courts of Davao City, Philippines.

For clients outside the Philippines, we will first attempt to resolve disputes through good-faith negotiation before pursuing legal remedies.
